Terms of Service

Last updated · Version 0.1

This document is not final.

Paddles Up is in beta. This text has not been through legal review. Some details in it are our best understanding rather than something anyone has signed off.

We publish it anyway because you should be able to read what you are agreeing to. We will tell you before a final version takes effect.

1. Who you are agreeing with

These Terms are between you and Paddles Up LLC, a Virginia limited liability company ("Paddles Up", "we", "us"). They cover the Paddles Up website, apps and services (the "Service").

By creating an account, or by using the Service, you agree to these Terms, to the Community Rules, and to the Privacy Policy. If you do not agree, do not create an account.

2. What Paddles Up is, and what it is not

Paddles Up is software that pickleball clubs and organizers ("Clubs") use to run events, leagues, ladders and drafts, and that players use to find and enter them.

We do not run the play. Clubs do. A Club decides who may enter, sets the format and the fees, chooses the venue, supervises the event, and is responsible for what happens there. When you register for an event you are contracting with that Club, not with us.

Specifically, and this matters more than anything else in these Terms:

  • The Club is the seller. Entry fees are charged by the Club through its own payment account. We facilitate the charge; the Club receives the money and is the merchant of record.
  • The Club sets refund terms, and is responsible for honoring them.
  • The Club's waiver is the Club's. Any release or assumption of risk you sign through the Service runs to the Club named on it. Signing it through our software does not make us a party to it, and does not make us responsible for the risks it describes.
  • The venue is the venue's. We do not own, operate, inspect or control any court, facility or venue listed on the Service.

We are not a sanctioning body, an insurer, a rating authority, an employer of any coach or official, or a party to any match.

3. Your account

You must be at least 13 years old to hold an account. If you are under 18, a parent or legal guardian must consent and agree to these Terms on your behalf.

Paddles Up is in beta. Anyone who meets those requirements may create an account, and the Service will change as it develops; section 7 says what that can mean.

You are responsible for your account, for keeping your sign-in method secure, and for everything done through it. Tell us at support@paddlesup.io promptly if you believe someone else has used it. Accounts are personal; do not share or transfer one.

We may verify identity, age or eligibility where a Club or the law requires it.

4. Registering and paying for events

When you register:

  • You are making an offer to the Club, which the Club may accept or decline.
  • The price, currency and any Club-specific terms are shown before you confirm.
  • Payment is taken by the Club through Stripe. Card details go to Stripe directly; we do not receive or store your card number.
  • Refunds, credits, transfers, waitlists and cancellations are governed by the Club's stated policy. Ask the Club first. We can help you reach them, and we can pass a request along, but we cannot order a Club to refund you.
  • If a Club cancels an event, the Club is responsible for refunding it.
  • Chargebacks are resolved between you, the Club and Stripe.

We do not currently charge players a fee of our own. If that changes, the charge will be disclosed clearly before you agree to it, confirmed by email, and — if it renews automatically — cancelable through the same route you used to start it.

5. What you may not do

The Community Rules are part of these Terms. In short: no harassment, no cheating or sandbagging, no impersonation, no scraping or automated collection, no attempts to break, overload or probe the Service, no reselling access, no uploading content you do not have the rights to, and no using the Service to collect other players' information for purposes of your own.

6. Your content, and your name on results

You keep ownership of what you upload — your photo, your profile, anything you post.

You give us a non-exclusive, worldwide, royalty-free license to host, store, reproduce, adapt for display, and show that content for the purpose of operating the Service, including showing it to the Clubs and players you play with. That license ends when you delete the content, except for copies already distributed to Clubs and for backups on their ordinary cycle.

Results are public by design. Your display name, results, standings and rating appear to other participants and, for public events, to anyone with the link. Competition results are a record of what happened and we do not delete them when an account closes; we disassociate them from your profile instead. Your date of birth is used to decide age brackets and is never displayed.

You are responsible for having the rights to what you upload, including photos of other people and of children.

7. What we may do

We may change, suspend or discontinue parts of the Service. We will give reasonable notice of anything that materially reduces what you have already paid a Club for, where we can.

We may suspend or close an account that breaks these Terms, creates risk for other players, or that a Club asks us to remove from its own events. Where it is not unreasonable to do so, we will say why and give you a way to respond.

We may access your account for support, safety, security or legal reasons. Some Paddles Up staff can sign in as a user to reproduce a problem. That access is restricted, logged, and used only for those reasons.

8. Third-party services

The Service uses Stripe for payments, Google Maps for maps and places, and the other providers listed at Subprocessors. Your use of those features is also subject to their terms. Map content is provided by Google and is subject to Google's Terms of Service and Privacy Policy.

9. Assumption of risk

Pickleball is a physical sport, and you can be hurt playing it. Slips and falls, collisions with other players, contact with the ball or a paddle, court and facility conditions, heat, and cardiac events are all real risks, and they are not eliminated by anything on this website.

You accept those risks. You understand them, you choose to play anyway, and you use the Service and play at your own risk. Where a Club requires a waiver, you sign that with the Club, not with us.

Separately from that acknowledgment, and only as far as the law allows, you release Paddles Up from claims arising out of play, other participants, coaches, officials, venues, or a Club's conduct. That release covers our role as the software provider. It does not release the Club, the venue, or anyone else. It does not cover gross negligence, recklessness or intentional misconduct, and it does not apply where the law does not allow it — some states, Virginia among them, will not enforce a release of personal-injury claims signed before the injury, and in those states it simply does not take effect.

The two paragraphs above stand or fall separately. If the release is unenforceable where you are, your acceptance of the risks of playing still stands, and so does the rest of these Terms. Nothing here waives any right you cannot waive under the law of your state.

10. Disclaimers

The Service is provided "as is" and "as available". To the fullest extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that ratings, results, schedules, standings, availability or venue information are accurate or current. Clubs enter most of it.

11. Limitation of liability

To the fullest extent permitted by law, we are not liable for indirect, incidental, special, consequential, exemplary or punitive damages, or for lost profits, data, or goodwill.

Our total liability for any claim relating to the Service is limited to the greater of the amount you paid to Paddles Up in the twelve months before the claim, or $100. Entry fees you paid to a Club are not amounts paid to Paddles Up.

Some jurisdictions do not allow these limits, and in those places they apply only as far as the law allows.

12. Indemnity

You will defend and indemnify us against claims arising from your use of the Service, your content, your conduct at an event, or your breach of these Terms, except to the extent the claim arises from our own conduct.

13. Disputes and governing law

These Terms are governed by the laws of the Commonwealth of Virginia, without regard to conflict of laws, and the courts of the state and federal courts located in the Commonwealth of Virginia have exclusive jurisdiction.

We do not require you to arbitrate, and you do not give up your right to bring a claim in court or to take part in a class action. If that ever changes we will tell you before it takes effect and ask you to agree to it separately.

14. Changes

We may update these Terms. Each version has a version identifier and an effective date, both shown at the top of this page, and we keep a record of which version you accepted.

For material changes we will give notice — by email, or in the app — at least 30 days before they take effect, and ask you to accept the new version the next time you sign in. Continuing to use the Service after that is acceptance. Non-material changes take effect when posted.

15. The rest

If a provision is unenforceable, the rest survives. Our not enforcing something is not a waiver of it. You may not assign these Terms; we may, to a successor. These Terms, plus the documents they incorporate, are the whole agreement between us about the Service.

16. How to reach us, and how notice works

Questions about the Service: support@paddlesup.io.

Legal notice to us is effective when sent to legal@paddlesup.io, and we will treat it as received on the next business day. You do not have to post anything to give us notice. If you would rather write, ask at legal@paddlesup.io and we will give you a postal address.

Notice to you is effective when sent to the email address on your account, so keep it current.
